These Terms & Conditions ("Terms") govern access to and use of the Indie Brewer marketplace platform ("Platform") operated by Indie Brewer Ltd ("Indie Brewer", "we", "us", "our"). By registering or using the Platform, you ("you", "user") agree to these Terms.
Please read them carefully. If you do not agree, you must not use the Platform.
1. About Indie Brewer
Indie Brewer Ltd is a UK-registered company that provides a digital marketplace connecting licensed breweries, retailers, and hospitality venues with trade and consumer buyers. Indie Brewer does not sell, supply, store, or distribute alcohol.
All alcoholic products available through the Platform are sold and supplied under the Premises Licence of the participating brewery or licensed retailer (each a "Seller"). Indie Brewer acts solely as a facilitator and payment intermediary, processing orders and payments through Adyen N.V. ("Adyen"), a regulated payment institution. Indie Brewer never holds customer funds or takes legal title to any goods.
2. Definitions

| Processing Fee | A pre-agreed commission or service fee charged by Indie Brewer for platform and payment processing services. |
| Adyen | Adyen N.V. and its authorised subsidiaries providing payment collection, processing, and settlement on behalf of Sellers. |
3. Marketplace Role
Indie Brewer operates an online marketplace enabling Sellers to advertise products and Buyers to place orders. Indie Brewer is not a party to any sales contract between Seller and Buyer and has no responsibility for manufacture, quality, packaging, delivery, or legal compliance of the products.
Each Seller is the merchant of record for its products and bears full responsibility for the sale and supply of alcohol under the Licensing Act 2003. Indie Brewer does not act as an agent for payment collection other than to instruct Adyen on settlement allocations.
4. Legal Compliance
- All Sellers must hold and maintain a valid Premises Licence (and Personal Licence if applicable) and comply with all laws governing alcohol production, sale, and delivery.
- Wholesale Sellers must provide a valid AWRS (Alcohol Wholesaler Registration Scheme) number which will be verified against HMRC’s public register.
- Consumer deliveries must be performed by a licensed Seller or a licensed retailer acting under a Challenge 25 age-verification policy.
- Buyers must be at least 18 years old to purchase alcohol. By placing an order, you confirm you are legally permitted to buy alcohol in the UK.
- Indie Brewer may suspend any Seller or Buyer account that fails verification or breaches applicable law.
5. Orders and Contracts
When you place an order, you are making an offer to buy from the listed Seller(s). A binding contract for the sale of goods arises directly between you and the Seller when the Seller accepts or dispatches your order.
Indie Brewer provides order management and communication tools but is not a contracting party to the sale.
6. Payments and Fees
6.1 Payment Processing
All payments on the Platform are processed by Adyen on behalf of the relevant Seller(s). Funds are collected by Adyen, split according to instructions issued by Indie Brewer, and remitted directly to the Seller(s), any licensed retailer or delivery partner (if applicable), and Indie Brewer Ltd for its pre-agreed Processing Fee.
Indie Brewer never holds or controls customer funds and does not operate any wallet or escrow facility.
6.2 Processing Fees (Sellers)
Each Seller authorises Indie Brewer to deduct a pre-agreed Processing Fee (percentage or fixed amount) from order proceeds before payout. This fee covers marketplace operation, payment handling, and customer service.
The current fee and VAT rate are displayed in each Seller’s Partner Dashboard or agreement.
6.3 Buyer Fees
In some cases, Indie Brewer may apply a small service fee to buyers; any such fee will be displayed clearly at checkout and itemised on the confirmation page.
6.4 Settlement
Adyen pays Sellers according to its payout schedule (typically within five business days after dispatch confirmation). Indie Brewer is not responsible for delays caused by Adyen or the Seller’s bank.
6.5 Taxes
Sellers remain responsible for any excise duty, VAT, or other applicable taxes on their sales. Indie Brewer charges VAT on its own Processing Fees where required.
7. Refunds and Chargebacks
Refunds and cancellations are handled through Adyen against the original payment method. Sellers are responsible for initiating refunds for faulty or cancelled orders in line with consumer law. Chargebacks or payment disputes are processed under Adyen’s regulated dispute procedures.
Indie Brewer may assist in communications but is not financially liable for refunds or chargebacks.
8. Wholesale (B2B) Terms
- Wholesale Buyers must provide a valid business registration, VAT number, and (where applicable) Premises Licence.
- Orders placed under a trade account are business-to-business transactions. Consumer cancellation rights under the Consumer Contracts Regulations 2013 do not apply.
- Wholesale Buyers are responsible for maintaining appropriate records for alcohol duty and onward resale.
- Indie Brewer reserves the right to verify AWRS and licence details before enabling trade purchasing.
9. Consumer (B2C) Terms
- Consumers must be 18+ to use the Platform and may be required to verify age electronically or on delivery.
- Delivery of alcohol will be carried out by a licensed Seller or a licensed retail partner who will check ID under Challenge 25.
- Returns or complaints about the product, delivery, or quality should be directed to the Seller shown on your order confirmation.
- Indie Brewer is not liable for delays, breakages, or failed age checks that prevent delivery.

10. Seller Obligations
- Maintain valid licences, AWRS registration (if applicable), and accurate product information (ABV, allergens, ingredients).
- Handle all delivery, storage, and returns for their products.
- Comply with all applicable alcohol, food, and consumer-protection laws.
- Indemnify Indie Brewer Ltd against any claim, fine, or loss arising from their breach of law, product defect, mislabelling, or failure to verify age.
- Authorise Indie Brewer and Adyen to process payments and remit funds on their behalf.
11. Platform Responsibilities and Disclaimers
Indie Brewer provides the Platform “as is” and does not guarantee uninterrupted access. Indie Brewer makes no warranty regarding product quality, merchantability, or fitness for purpose of any goods listed by Sellers.
Indie Brewer shall not be liable for any loss of profits, goodwill, data, or indirect or consequential damages. In no event shall Indie Brewer’s total liability exceed the total Processing Fees paid by the user to Indie Brewer in the preceding twelve (12) months.
Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud.
12. Data Protection and Privacy
Indie Brewer and each Seller act as independent data controllers under the UK GDPR. Indie Brewer processes personal data to operate the Platform and payment systems in accordance with its Privacy Policy. Adyen processes payment data as a regulated controller under its own privacy notice.
Sellers may receive limited customer data necessary to fulfil orders and must process it lawfully and securely.
13. Account Termination and Suspension
Indie Brewer may suspend or terminate user accounts that:
- provide false licence or business information;
- breach these Terms; or
- engage in fraudulent or illegal activities.
Sellers remain responsible for fulfilling outstanding orders or refunding customers even if suspended.
14. Intellectual Property
All content, software, and branding on the Platform are owned or licensed by Indie Brewer Ltd. Sellers retain ownership of their product images, trademarks, and descriptions but grant Indie Brewer a licence to display them on the Platform and in marketing materials.
15. Governing Law and Jurisdiction
These Terms and all disputes arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
